1. Acceptance of Terms
Welcome to VoxGrow ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our Voice AI Assistant SaaS platform ("Service"). By accessing or using the Service, you ("User," "you") agree to be bound by these Terms. If you do not agree, you may not use the Service. The Service is available only to individuals aged 18+ or entities with legal capacity.

2. Services Provided
We provide a cloud-based AI-powered voice assistant accessible through our website and/or mobile application. Features and functionalities may evolve, and we reserve the right to modify or discontinue any aspect of the Service at any time without notice.

3. Account Registration and Use
a. You must be at least 18 years old to create an account.
b. You are responsible for maintaining the confidentiality of your login credentials.
c. You agree not to use the Service for any unlawful or prohibited activities.
d. You agree to provide accurate, current, and complete information.
e. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription, Fees, and Payment
a. The Service is provided on a subscription basis with applicable fees disclosed at the time of purchase.
b. Payments are non-refundable, except as required by Pennsylvania law.
c. Subscriptions renew automatically unless canceled at least 30 days before the renewal date.
d. Prices are subject to change with prior notice.
e. Fees exclude applicable taxes, which are the responsibility of the User.

5. Acceptable Use Policy
Users agree not to:

  • Use the Service to generate or transmit harmful, illegal, misleading, or offensive content.
  • Reverse engineer, decompile, or attempt to gain unauthorized access to the software.
  • Interfere with the Service’s operations or security.
  • Violate any applicable laws, including data privacy and copyright laws.

6. Intellectual Property Rights
All rights, title, and interest in the Service, including but not limited to trademarks, copyrights, and patents, belong to VoxGrow. Users are granted a limited, non-exclusive, non-transferable license to use the Service for personal or business purposes, subject to these Terms.

7. Data Collection and Privacy
a. By using the Service, you acknowledge and agree to our Privacy Policy.
b. We collect, store, and process data in compliance with U.S. federal laws, the Pennsylvania Consumer Data Privacy Act (if enacted), GDPR (if applicable), and CCPA (if applicable).
c. You grant us a license to use anonymized or aggregated data for analytics and product improvement.
d. Users are responsible for ensuring compliance with any applicable voice recording laws in their jurisdiction.
e. We implement industry-standard security measures but do not guarantee absolute security.

8. AI Limitations and Disclaimer

  • The Voice AI Assistant is an automated system and may generate inaccurate or inappropriate responses. We do not guarantee accuracy, completeness, or reliability of responses.
  • The Service is not a substitute for professional advice, including legal, medical, or financial guidance.
  • Users assume full responsibility for decisions made based on AI-generated outputs.

9. Third-Party Services and Integrations

  • Our Service may integrate with third-party platforms (e.g., APIs, cloud services). We are not responsible for third-party content, security, or service disruptions.
  • Use of third-party services is governed by their respective terms.

10. Termination and Suspension
We reserve the right to terminate or suspend your account if you:
a. Violate these Terms.
b. Fail to pay fees.
c. Engage in fraudulent or abusive behavior.
d. In case of termination, you will lose access to your account and data, subject to applicable data retention policies.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • VoxGrow SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE PAST 12 MONTHS.

12. Indemnification
You agree to indemnify and hold harmless VoxGrow, its officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law principles.
  • Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).
  • Users waive their right to participate in class-action lawsuits and jury trials.

14. Modifications to Terms
We may update these Terms at any time. Continued use after posting constitutes acceptance.

15. Force Majeure
We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, power outages, cyberattacks, government actions).

16. Severability and Waiver

  • If any provision is found invalid, the rest remain enforceable.
  • Failure to enforce any provision does not waive our rights.

17. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and VoxGrow regarding the Service.
